Acceptance of Terms
By accessing privi.club or adding a Privi wallet pass to your device, you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Privi ("we", "us", or "our"), operated from Quebec, Canada.
Description of Service
Privi is a wallet-pass-native private membership club. Members receive a digital card stored natively in Apple Wallet or Google Wallet. That card connects members to a curated network of brand partners who offer exclusive perks — including discounts, early product access, private events, and complimentary experiences. Membership is invitation-only. Privi reserves the right to modify, suspend, or discontinue any aspect of the Service at any time.
Eligibility
To use Privi you must be at least 16 years of age. By using the Service, you represent and warrant that you meet this requirement. You must also have received a valid invitation — either from an existing member, a brand partner, or at a Privi-hosted event. Attempting to create an account without a valid invitation is prohibited.
Your Account
You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Privi uses passwordless authentication via email — you must ensure that your email account is secure. Each person may hold only one Privi membership account. Creating duplicate accounts is prohibited and may result in termination of all associated accounts. You agree to provide accurate information and to keep it current. If you become aware of any unauthorised use of your account, notify us immediately at hello@privi.club.
Wallet Pass
Your Privi membership is represented by a digital wallet pass issued to your Apple Wallet or Google Wallet. This pass is personal to you and may not be transferred or shared. We may update the contents of your pass at any time — including your tier, credit balance, and displayed perks — without prior notice. Updates are delivered automatically by the wallet platform. We use native wallet push notifications to communicate with you. By adding the pass to your wallet, you consent to receive these notifications. You may disable them at any time through your device's wallet settings.
Points & Tiers
Members earn credits (points) through qualifying actions including perk redemptions, successful referrals, and event attendance. Credits accumulate to determine your membership tier. Tiers currently include Founding, Silver, Gold, and Platinum. Each tier unlocks access to progressively more exclusive perks and partner offers. We reserve the right to adjust point values, tier thresholds, and the actions that qualify for credit at any time and without prior notice. Credits have no monetary value, cannot be transferred, and cannot be redeemed for cash.
Perks & Deals
Perks are exclusive offers made available to eligible members through the Privi platform. All perks are subject to availability and may be withdrawn or modified at any time. The specific terms of each perk — including validity period, redemption conditions, and any restrictions — are set by the brand partner offering the perk. Privi is not responsible for a brand partner's failure to honour, fulfil, or deliver a perk. If you experience an issue redeeming a perk, contact the relevant brand partner directly. You may also report persistent issues to hello@privi.club and we will follow up with the partner on a best-efforts basis.
Brand Partners
Brand partners are independent businesses that join the Privi network to offer perks to members. Privi facilitates these relationships but is not a party to any transaction between you and a brand partner. Brand partners set their own deal terms and are solely responsible for the fulfilment of their offers. Privi does not guarantee the quality, accuracy, or availability of any brand partner's products or services. Privi reserves the right to remove any brand partner from the platform at any time.
Prohibited Conduct
You agree not to engage in any of the following: Fraud or Abuse. Generating fake referrals, manipulating credit balances, or exploiting platform mechanics in ways not intended by Privi. Misuse of Perks. Attempting to redeem perks you are not eligible for, or sharing single-use redemption codes with others. Reverse Engineering. Attempting to reverse engineer, decompile, or extract source code or data from the Privi platform, pass files, or APIs. Scraping. Using automated tools to extract data from the Privi platform or its APIs without authorisation. Impersonation. Misrepresenting your identity or affiliation with any person or organisation. Unlawful Use. Using the Service in any manner that violates applicable law. Violation of these prohibitions may result in immediate account suspension or termination.
Intellectual Property
All content, branding, design, and technology associated with Privi — including the Privi name and logo, wallet pass designs, platform interface, and written content — is owned by or licensed to us and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from any Privi content without our express written permission.
Limitation of Liability
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any specific perk or brand offer will be available at any given time. To the maximum extent permitted by applicable law, Privi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the Service or any perk, including damages resulting from a brand partner's failure to fulfil an offer. Our total aggregate liability to you for any claim arising from these Terms or the Service shall not exceed CAD $100.
Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct harmful to the platform or its members. You may delete your account at any time by contacting hello@privi.club. Upon deletion, your wallet pass will be invalidated and your personal data will be removed in accordance with our Privacy Policy. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and governing law.
Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the courts located in Quebec, Canada, and you consent to the personal jurisdiction of such courts.
Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date below and, for material changes, send a notification to your wallet pass. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, please stop using the Service and contact us to delete your account.
